⚠️ Draft for legal review. This is a structured template reflecting how Boticum works commercially. Have it reviewed by a qualified lawyer for your launch market (UAE) and any other jurisdiction you operate in before publishing. Replace every [BRACKETED] placeholder. Nothing here is legal advice.

These Terms of Service (“Terms“) govern your access to and use of the Boticum platform, website, and related services (the “Service“), provided by FED DIGITAL MARKETING AND E COMMERCE FZE (“Boticum“, “we“, “us“). By creating an account or using the Service, you (“you“, the “Tenant“, or “Customer“) agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

Boticum is a multi-tenant SaaS customer-relationship-management platform. It lets businesses receive Instagram DM and WhatsApp messages in a shared inbox, manage contacts and a sales pipeline, and use optional paid add-ons (Email Marketing, WhatsApp Marketing, Lead Generation, Invoicing, Public API). Features vary by plan and active add-ons.

We may update, improve, or modify the Service over time. We will not materially reduce core functionality of a paid plan during a paid term without notice.

2. Accounts & eligibility

3. Subscriptions, add-ons & fees

3.1 Plans and add-ons

The Service is offered on subscription plans, with optional add-ons that unlock additional features. Prices, billing frequency, and included limits are shown at sign-up or in your account.

3.2 Billing

3.3 Auto-renewal

Subscriptions renew automatically for successive terms unless cancelled before the renewal date. You can cancel renewal in your account or by contacting us.

3.4 Failed payments & suspension

If a payment fails, we may retry, notify you, and, after a grace period, suspend access to paid features or the Service until payment is resolved. Your data is retained during suspension per our retention practices.

3.5 Price changes

We may change prices; we will give you reasonable advance notice, effective from your next billing term.

4. WhatsApp messaging — prepaid credit wallet & fees

Certain WhatsApp messaging (e.g. template messages) carries a per-message cost set by Meta plus our service commission. To use these features:

Boticum acts as the payer to Meta for messaging routed through the platform; this does not make Boticum a party to your relationship with your own customers.

5. Third-party services (Meta, Stripe, others)

The Service integrates with third-party platforms, including Meta (WhatsApp Business Platform, Instagram) and Stripe. Your use of those integrations is also subject to the third party’s terms and policies. You are responsible for:

We are not responsible for third-party services or for changes they make to their platforms, fees, or policies.

6. Your data & our roles

7. Acceptable use

You agree not to, and not to allow anyone to:

We may suspend or terminate accounts that violate this section.

8. Public API & fair use

If you enable the Public API add-on, your use is subject to the published rate limits, scopes, and documentation. We may throttle or suspend API access that threatens the stability or security of the Service.

9. Service availability & support

10. Intellectual property

The Service, including its software, design, and trademarks, is owned by Boticum and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted. Feedback you provide may be used by us without obligation to you.

11. Confidentiality

Each party may access the other’s confidential information. Both parties agree to protect it and use it only as needed to perform under these Terms, except where disclosure is required by law.

12. Term & termination

13. Disclaimers

Except as expressly stated, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement, to the maximum extent permitted by law.

14. Limitation of liability

To the maximum extent permitted by law:

Some jurisdictions do not allow certain limitations; in that case the limitations apply to the fullest extent permitted.

15. Indemnification

You will defend and indemnify Boticum against third-party claims arising from your Customer Content, your use of the Service in breach of these Terms, or your violation of law or third-party rights (including Meta’s policies or messaging consent requirements).

16. Changes to these Terms

We may update these Terms. For material changes we will provide reasonable notice (e.g. by email or in-app). Continued use after changes take effect constitutes acceptance.

17. Governing law & disputes

These Terms are governed by the laws of the Emirate of Sharjah, United Arab Emirates, without regard to conflict-of-laws rules. Disputes will be subject to the exclusive jurisdiction of the courts of Sharjah, United Arab Emirates, or to arbitration if specified: [OPTIONAL ARBITRATION CLAUSE].
